ContourAId provides AI-powered software solutions for radiation oncology workflows, including but not limited to:

• Automated contouring of organs at risk and target volumes
• Real-time quality assurance and dosimetric feedback
• Integration with treatment planning systems
• Clinical decision support tools

Our Services are intended for use by qualified healthcare professionals in clinical and research settings.

3. Clinical Use and Limitations

3.1 Professional Use Only

ContourAId's Services are designed for use by qualified healthcare professionals, including radiation oncologists, medical physicists, and dosimetrists. Users must have appropriate training, credentials, and licensure to practice radiation oncology.

3.2 Decision Support, Not Replacement

ContourAId provides clinical decision support tools. All outputs, recommendations, and automated contours must be reviewed, validated, and approved by a qualified healthcare professional before clinical use. ContourAId does not replace professional medical judgment.

3.3 Regulatory Status

ContourAId may be subject to regulatory requirements in your jurisdiction. Users are responsible for ensuring compliance with all applicable laws, regulations, and institutional policies, including FDA regulations, CE marking requirements, and local healthcare standards.

3.4 Not for Emergency Use

ContourAId is not intended for use in emergency or time-critical situations where delays in manual processes could endanger patient safety.

4. User Responsibilities

Users of ContourAId agree to:

• Provide accurate and complete information during registration and use
• Maintain the confidentiality of account credentials
• Use the Services only for lawful purposes and in accordance with these Terms
• Comply with all applicable laws, regulations, and professional standards
• Review and validate all AI-generated outputs before clinical use
• Report any errors, bugs, or safety concerns to ContourAId promptly
• Maintain appropriate patient consent and data use agreements

5. Data Privacy and Security

5.1 Patient Data

Users are responsible for ensuring that all patient data uploaded to or processed by ContourAId is de-identified or used in accordance with applicable privacy laws (including HIPAA in the United States, GDPR in the European Union, and other local regulations).

5.2 Data Protection

ContourAId implements industry-standard security measures to protect data, including encryption, access controls, and audit logging. However, no system is completely secure, and users acknowledge the inherent risks of electronic data transmission.

5.3 Data Retention

Unless otherwise specified in a separate agreement, ContourAId does not retain patient imaging data after processing is complete. Aggregated, de-identified data may be used to improve our Services.

5.4 Compliance

Users must comply with all applicable data protection laws and obtain necessary consents for data processing. ContourAId will cooperate with users to meet regulatory compliance requirements under appropriate data processing agreements.

6. Intellectual Property

6.1 ContourAId Property

All intellectual property rights in the Services, including software, algorithms, documentation, and trademarks, are owned by ContourAId or its licensors. Users receive a limited, non-exclusive, non-transferable license to use the Services as permitted by these Terms.

6.2 User Data

Users retain all rights to their clinical data and patient information. By using the Services, users grant ContourAId a limited license to process such data solely for the purpose of providing the Services.

6.3 Feedback

Any feedback, suggestions, or ideas provided to ContourAId may be used by ContourAId without obligation or compensation to the user.

7. Disclaimers and Limitations of Liability

7.1 No Warranty

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTOURAID SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any errors or omissions in any content or outputs
• Any clinical decisions made based on the Services

7.3 Medical Disclaimer

CONTOURAID DOES NOT PROVIDE MEDICAL ADVICE. THE SERVICES ARE TOOLS TO SUPPORT CLINICAL DECISION-MAKING BY QUALIFIED PROFESSIONALS. CONTOURAID IS NOT RESPONSIBLE FOR CLINICAL OUTCOMES, TREATMENT DECISIONS, OR PATIENT CARE.

8. Indemnification

Users agree to indemnify, defend, and hold harmless ContourAId, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your use of the Services
• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of any rights of another party, including patient privacy rights

9. Term and Termination

9.1 Term

These Terms remain in effect while you use the Services.

9.2 Termination by User

You may stop using the Services at any time. If you have a paid subscription, cancellation terms will be specified in your separate agreement.

9.3 Termination by ContourAId

ContourAId may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms.

9.4 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive.

10. Changes to Terms

ContourAId reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website or through the Services. Continued use of the Services after changes constitutes acceptance of the modified Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in Bern, Switzerland, or through the courts of Bern, Switzerland.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with any separate agreements (such as institutional license agreements or data processing agreements), constitute the entire agreement between you and ContourAId regarding the Services.

12.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

12.3 Waiver

The failure of ContourAId to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms without ContourAId's prior written consent. ContourAId may assign these Terms without restriction.
